By accessing or using NexusTrack ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

NexusTrack provides a cloud-based task management and project collaboration platform. We offer both free and paid subscription plans with varying features and capabilities.

3. Account Registration

To use our Service, you must:

• Be at least 16 years old
• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Promptly notify us of any unauthorized use
• Be responsible for all activities under your account

4. Acceptable Use Policy

You agree not to:

• Violate any laws or regulations

• Transmit malware, viruses, or harmful code

• Attempt to gain unauthorized access to any systems

5. Subscription Plans and Billing

Free Plan

Our Free Plan is provided at no cost with limited features. We reserve the right to modify or discontinue the Free Plan at any time.

Pro Plan

The Pro Plan is billed at $5 per user per month. Billing occurs monthly in advance. All fees are non-refundable except as required by law.

Payment Terms

• Prices are in USD and exclude applicable taxes
• You authorize us to charge your payment method on a recurring basis
• Failed payments may result in service suspension
• Price changes will be notified 30 days in advance

6. Intellectual Property

Our Property

The Service and its original content, features, and functionality are owned by NexusTrack and are protected by international copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you create using our Service. By using the Service, you grant us a worldwide, non-exclusive license to use, store, and process your content solely to provide the Service to you.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. We are committed to protecting your personal data and complying with applicable data protection laws.

8. Service Availability

We strive to provide 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs
• Force majeure events
• Actions by third-party providers

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUSTRACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify and hold harmless NexusTrack, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

You may terminate your account at any time through your account settings. Termination does not entitle you to any refunds.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
